GE Industrial to Acquire Microwave Data Systems

Acquisition opens growth opportunities in $1.3 billion global industrial wireless market segment

for immediate release

LOUISVILLE, Ky. and SANTA BARBARA, Ca. – January 5, 2007 – GE Industrial, a unit of General Electric (NYSE:GE), and Moseley Associates have announced the signing of an agreement for GE to acquire the assets of Rochester, NY-based Microwave Data Systems (MDS), a subsidiary of Moseley Associates and a world leader in industrial, wireless, and networking solutions. The acquisition offers complementary technology to GE’s Multilin business, part of GE Consumer & Industrial. It will create growth opportunities for Multilin in its current markets and in the $1.3 billion global industrial wireless market segment, which is expected to grow 15 percent in 2007. The transaction is subject to customary government approvals and is expected to close in January 2007.

MDS employs approximately 275 people who design and manufacture networked high-speed, microwave radios for wireless communications solutions in use in oil and gas, utility, traffic monitoring, public safety, lottery and other industrial applications. The MDS wireless technology - combined with Multilin’s current product lines in protection, metering, control and automation systems  - will offer customers improved asset protection and control through enhanced security, speed and access of information, even in the most remote and challenging environments, by eliminating the need for wiring.  MDS’ technology also helps Multilin customers to significantly reduce the cost of system interconnection, commissioning, and maintenance costs while increasing overall system performance and uptime.  The MDS technology also enables the potential for a wide-range of applications in the products and services of other GE businesses, including Oil & Gas, Energy, Transportation, Equipment Services, and GE Fanuc.

“MDS is a highly technical and innovation-based enterprise with a stream of new products planned for launch in ’07 and beyond.  This is exactly the type of business we want in our portfolio,” said Larry Sollecito, General Manager, GE Multilin. “Combining MDS’ technology and products with that of Multilin not only gives us more and better solutions for our current customers but also opens up new markets for us to serve. The potential for growth is tremendous.”

Jamal Hamdani, President and CEO of Moseley Associates, said, “For several years now, we have articulated a vision for Moseley – to become the GE of the wireless business – a global, diversified, and profitable market leader. Today, that vision is becoming reality in the industrial wireless business, as one of our companies, MDS, now becomes the wireless component of GE’s industrial business. As we move forward, our company and our subsidiaries will continue our tradition to provide innovative products and services, always striving to anticipate and exceed the needs of our customers and employees.”

Upon closure, the new business will be a wholly-owned GE subsidiary called GE MDS, LLC. Roberto Vengoechea, currently GM of Multilin’s Instrument Transformer business, will lead GE MDS, LLC, working with its current leadership team of Richard Nozel, John Geiger, Mike Wagner, and David Rodriguez.

This document contains "forward-looking statements" - that is, statements related to future, not past, events. In this context, forward-looking statements often address expected future business and financial performance, and often contain words such as "expects," "anticipates," "intends," "plans," "believes," "seeks," or "will." For GE, particular uncertainties arise from the behavior of financial markets, including fluctuations in interest rates and commodity prices, from future integration of acquired businesses, from future financial performance of major industries which we serve, including, without limitation, the air and rail transportation, energy generation, media, real estate and healthcare industries, from unanticipated loss development in our insurance businesses, and from numerous other matters of national, regional and global scale, including those of a political, economic, business, competitive and regulatory nature. AXXCELERA COMMENCES LICENSED EXEMPT 5 GHz AB-MAX TRIALS

for immediate release

Washington, DC - WCA 2006 – 6/28/06 - Axxcelera Broadband, a Moseley Wireless Solutions Group Company and premier provider of broadband wireless communications products and technologies, today announced the commencement of system trials of the AB-Max system with global key customers.

AB-Max, the next generation platform of the highly successful AB Access platform, will operate in the license-exempt 5.8 GHz ISM band, the lower 5.3 GHz U-NII band, and the upper 5.47 GHz U NII band. As business and residential customers continue to demand increased capacity and functionality within their wireless networks, the AB-Max addresses this demand by allowing for expansive reach within the last mile by utilizing an OFDM-based architecture with NLOS technology. AB-Max allows Internet service providers to optimize their ROI on spectrum due to the ability to offer tiered services (enabled by QoS mechanisms and a 15MHz wide channel) to hundreds of broadband users from a single Access Point. AB-Max will support different bandwidth, interface and CPE options to allow service providers to offer different customer applications. "These product enhancements, while meeting the technological demands of customers, also address the increased service offering needs from operators by providing a functionally feature rich and competitively priced CPE to penetrate markets which were previously dominated by DSL and Cable operators," said Jamal Hamdani, president and CEO of Axxcelera Broadband.

AB-Max will deliver to customers a cost effective and robust solution that meets the FCC and ETSI requirements. Bandwidth, interface and CPE options will ensure that AB-Max is suitable for all applications. “The AB-Max represents Axxcelera’s further commitment to the development of advanced wireless technologies, with innovative and complimentary wireless products, that culminate in a total system solution providing the highest performance in last mile wireless connectivity,” added Hamdani.

Axxcelera plans to certify its 5 GHz AB-Max platform during the next wave of certification when profiles for 5 GHz WiMAX-2004 compliant products are included in the certification process.

Axxcelera Broadband Wireless Announces Wimax Certification of Industry’s First Full Duplex FDD CPE

for immediate release

SANTA BARBARA, Calif., April 25, 2006. - Axxcelera Broadband Wireless, a Moseley Wireless Solutions Group Company and recognized global leader providing broadband wireless communications products and technologies, announced that it has received the WiMAX Forum Certified™ seal for Axxcelera's 3.5 GHz ExcelMax Full Duplex FDD CPE Subscriber Station.

“The full duplex FDD CPE, as opposed to a half duplex CPE, supports aggregate capacity in excess of 40 Mbit/s in a 7 MHz channel and allows operators to offer excellent quality voice and video services to business and residential users,” said Jamal Hamdani, President & CEO of Axxcelera Broadband Wireless. ”We are pleased to be the first company to achieve WiMAX certification on a completely full duplex FDD system and we believe that this, together with the rest of our product portfolio, offers a comprehensive set of solutions to our customers.”

“Axxcelera’s WiMAX system will help network operators build out their fixed WiMAX networks,” said Ron Resnick, president of the WiMAX Forum. “Because each unit of the full duplex FDD system has achieved the WiMAX Forum Certified seal, operators can be assured that this is a robust fixed WiMAX solution that will operate seamlessly with other WiMAX Forum Certified products.”

The 3.5 GHz ExcelMax platform operates in the 3.3-3.8 GHz licensed spectrum. It comprises three different base station architectures: a Carrier-Class base station chassis, a Stackable Ultralite base station and a completely integrated outdoor Access Point. Three different CPE types complement the range of base station products: an outdoor full duplex FDD CPE for VoIP and Triple Play business customers, an outdoor half duplex FDD/TDD CPE for high speed internet and VoIP customers and a low cost self-install indoor CPE for residential customers. Broadband users on the ExcelMax system can be centrally provisioned and managed using a scalable carrier grade ExcelMax provisioning and management platform. The ExcelMax platform supports FDD and TDD operation, allowing the use of ExcelMax solutions in different regions of the world where either FDD or TDD spectrum has been allocated. Existing Axxcelera Excel Air customers will be able to upgrade their base stations for WiMAX operation. Future 802.16e operation will be supported in the Carrier-Class base stations and Access Point configurations.

"There's a whole new focus on process results, which puts the emphasis back where it belongs - on Customer Satisfaction" said Moseley's Quality Administrator, Mark Speciale during an interview after the audit results were announced, "The new ISO standard forces companies to prove that their Quality system is based around the Customer's needs, not around some pointless, mandated procedure. It makes much better sense and it's much more effective at ensuring continual Quality improvement."

All ISO 9000 compliant companies must transition over to the new standard by the end of 2003. Moseley strategically began transitioning as soon as the new standard became available, so that the company could start reaping rewards from the new, improved system as soon as possible.

MOSELEY PURCHASES THE SIGNIFICANT ASSETS OF ADAPTIVE BROADBAND CORPORATION

SANTA BARBARA, CALIFORNIA, November 2, 2001 - Moseley, a privately held company, and Adaptive Broadband Corporation (Nasdaq: ADAP) today announced that they have closed on an asset purchase agreement in which Adaptive Broadband, a leader in the fixed wireless broadband point-to-point and point-to-multipoint market, has agreed to sell, under the Bankruptcy Statute Provisions, to Moseley substantially all of its assets, including, but not limited to, all intellectual property, technology, capital equipment, accounts receivable, and physical inventory. The acquisition of the ADAP product line fortifies Moseley's overall position within the fixed wireless broadband global market by uniquely positioning Moseley as one of the industry's preeminent suppliers.

With the acquisition of all the significant assets of ADAP, including the AB-Access product, a new company has been formed: Axxcelera Broadband Wireless. Axxcelera is a Delaware Corporation and a wholly owned subsidiary of Moseley. Headquarters are in Santa Barbara, California; with Operations and Service in Rochester, New York; Product Development in Cambridge, United Kingdom; and Sales and Marketing in the United States and China.

Axxcelera Broadband Wireless will be a leading provider of point-to-multipoint products with both ATM and IP interfaces. The company offers products in the UNII 5.x band. Its end-user customers include leading Internet service providers, CLECs and traditional telecommunications companies.

Jamal Hamdani, President & CEO of Moseley, stated, "Moseley will benefit from the enormous know-how and experience garnered by Adaptive Broadband via its extensive deployments and pioneering leadership position in the broadband wireless marketplace. We are also acquiring a world-class collection of industry-specific tools, equipment and infrastructure set up by Adaptive Broadband in its drive to reach revenues exceeding one billion dollars. Additionally, Moseley will own the Intellectual Property Rights for development focused on QOS, ATM, and multilevel QAM. Finally, Moseley will benefit from investments in major ISPs and wireless companies, as well as from relationships and deployments with ISPs in 6 of the 10 most populated countries around the world.

Moseley will offer, either through Axxcelera Broadband Wireless or directly, its VOFDM-based products as its preferred choice for the Broadband Fixed Wireless Access market. While these VOFDM products, particularly in the FDD MMDS and 3.5 GHz bands, are targeted to the mass broadband marketplace, the AB-Access product is of significant value for shorter range, higher capacity, line-of-sight applications in the UNII unlicensed band. The AB-Access product provides corporate and business end users a choice of either ATM or IP connectivity."

This action, coupled with Moseley's efforts in the past 18 months, establishes Moseley as a major 'first meter to last mile' fixed wireless broadband infrastructure company. As a leading supplier of fully tested and deployed end-to-end fixed wireless broadband solutions, Moseley and its wholly owned subsidiaries Axxcelera Broadband Wireless and Microwave Data Systems can now offer a variety of point-to-point and point-to-multipoint products for last mile access and wireless high-capacity Internet connectivity to campus, enterprise and Internet Service Providers.
